Correct this company's data
The R$612m owner-mining transition was announced on 21 October 2026, and the MSG plant expansion commissions by year-end 2026: two high-urgency triggers inside the next 90 days, with 2027 budgets about to lock.
We use the Producer turnaround/performance playbook, borrowing from Construction/Ramp-up for MSG.
Aura is a multi-asset producer with second-quartile consolidated AISC (US$1,524/GEO FY2025) [52]. We therefore lead with value at stake in US$/yr and unit-cost reduction. The playbook focuses on:
- MSG cash cost/GEO;
- underground availability and cycle times;
- dilution in longitudinal stopes;
- contractor-to-owner fleet management.
MSG itself behaves like a ramp-up: a method change, development catch-up and a plant expansion commissioning at YE2026 [40][15]. For that part we add ramp-up acceleration levers: short-interval control, plant OEE and recovery ramp, maintenance systems from day one, and plan attainment.
The pitch frames every month of faster MSG ramp as quantifiable cash, and frames the owner-mining transition as protecting volume and cost guidance at Apoena, Almas and Borborema.

Company summary
Aura Minerals is a producing gold-equivalent (GEO) miner with several operations in Brazil, including Serra Grande (MSG, Goiás), Apoena, Almas and Borborema, plus the Matupá project. It is not a single-asset company. H1 2026 production was 157,574 GEO, Aura's best first half on record and 27% above H1 2025 [12]. Preliminary Q3 2026 output was a record 95,557 GEO, bringing 9M 2026 to 253,131 GEO against unchanged 2026 guidance of 340,000–390,000 GEO [30][13]. FY2025 consolidated output was about 280 koz GEO at a reported AISC of US$1,524/GEO [52][28].
The financial position is strong. Cash was US$248.3m at 30 June 2026. Q2 revenue was US$336.0m and Q2 adjusted EBITDA US$196.7m [2]. Q1 2026 net debt was US$115.2m, or 0.16x LTM EBITDA [4]. S&P upgraded Aura to BB- from B+ on 3 March 2026 [28]. The company pays material dividends (about US$55m in Q1 2026) and is repaying debt [3].
The operating story is MSG. Aura acquired it from AngloGold Ashanti in December 2025; MSG produced 80 koz GEO in 2024 [51][15]. The asset has three mechanised underground mines (longitudinal sublevel stoping) and one open pit feeding a dedicated plant [24][14]. In Q2 2026, MSG produced about 7,000 GEO (-16% QoQ) at a cash cost of US$3,852/GEO (+33%) [13][2]. Aura deliberately accelerated underground development and infrastructure work during that quarter. It is also switching the mining sequence from top-down to bottom-up [40] and expanding the plant from about 2 Mtpa to 3 Mtpa by year-end 2026 [15]. MSG output rose 85% QoQ in Q3 [37], and management targets about 80 koz in 2027 [13].
Two other changes matter. On 21 October 2026 Aura agreed to buy the contractor mining fleets, leases and dedicated workforce at Apoena, Almas and Borborema for R$612m, moving those sites to owner-mining [38][42]. Aura also says that, following its TSX delisting, it no longer files an MD&A; disclosure now comes through earnings releases and SEC filings under the AUGO ticker [1][22].

Issues
Most severe first- CriticalOperational
MSG unit cost is uneconomic at current volumes: Q2 cash cost US$3,852/GEO on ~7k GEO
MSG's Q2 2026 cash cost rose 33% to US$3,852/GEO as output fell to about 7,000 GEO.
- Against an implied realised price of about US$4,450/GEO, MSG cash margin was roughly US$600/GEO, or about US$4m for the quarter. That is before sustaining capex and the heavy development spend.
- Root cause, on the evidence: a largely fixed underground cost base (three mechanised UG mines, a plant, site G&A) spread over very low ounces. Output was low while Aura diverted effort to primary development, infrastructure and the switch from top-down to bottom-up sequencing.
- The lever is ounces per fixed dollar. That means development metres, stope cycle time, UG equipment availability and dilution control, plus disciplined unit-cost management as volumes rebuild.
- Q3 output rose 85% QoQ to about 12,950 GEO (estimate: 7,000 × 1.85). That is still only ~52 koz annualised, against 80 koz in 2024 under AngloGold and the 2027 target of ~80 koz.
- HighOperationalAnalyst inference
MSG turnaround execution: mining-method transition and underground development must lift output ~55% to hit 2027 target
Reaching about 80 koz in 2027 from a Q3 run-rate of about 52 koz/yr (estimate) needs roughly +55% more ounces. The underground mines must deliver all of the following at once:
- the top-down to bottom-up sequencing change;
- accelerated primary development;
- longitudinal sublevel stoping at higher productivity.
Typical failure modes in such transitions are development-metre shortfalls, stope-cycle delays (drill, blast, muck, fill), dilution creep in narrow longitudinal stopes, and low UG fleet availability. The specific bottleneck (ventilation, hoisting/haulage, fill, development fleet) is not disclosed, which is itself a diagnostic gap. Management already deferred stronger performance to 2027, so further slippage would hit guidance credibility in the first full year as a US-listed issuer.
- HighTechnicalAnalyst inference
MSG plant expansion to 3 Mtpa by YE2026 risks running underfed / low-grade, with recovery exposure
Management says MSG processing will rise from about 2 Mtpa to 3 Mtpa by year-end 2026. Back-calculation of what that capacity implies:
- 80 koz/yr at 91.8% recovery needs ~87 koz contained, about 2.8 t Au.
- At 3 Mtpa that is a feed grade of only ~0.93 g/t, versus a UG resource grade of ~3.1–3.4 g/t and a UG cut-off of 1.85 g/t.
So either the plant will run well below capacity on UG ore, or it will depend heavily on low-grade open-pit feed. The low-grade OP recovery assumption is 85.2% versus 91.8% for HG/MG, a 6.6-pt gap. This makes ore blending, stockpile management, P80 control, OEE and recovery management central to MSG economics. There is also a commissioning and ramp-up risk on the expanded circuit at year-end. Stated capacity figures conflict: 1.5 Mtpa on an older operations page versus ~2 Mtpa per management.
- HighOperationalAnalyst inference
Fleet insourcing at Apoena, Almas and Borborema creates an owner-maintenance and availability risk
On 21 Oct 2026 Aura agreed to buy the contractor fleets, equipment leases and dedicated workforce at three operating mines for R$612m (≈US$111m est.). Moving from contractor to owner-mining transfers the following to Aura:
- equipment availability and maintenance strategy;
- work-order systems, spares and critical-spares inventory;
- workforce supervision and dispatch;
- payload and cycle-time management.
Transitions like this commonly see an availability dip and cost creep in the first 6–12 months if planned maintenance, backlog management and KPI systems are not built in from day one. The value case for insourcing (removing contractor margin) depends on matching or beating contractor productivity. Apoena alone was about 35 koz GEO in FY2025 and is relying on a higher-grade H2 sequence, so any load-and-haul disruption lands on guidance.
- MediumOperationalAnalyst inference
2026 guidance midpoint requires a Q4 17% above the record Q3
9M 2026 production was 253,131 GEO against guidance of 340–390k GEO. Q4 needs:
- 86,869 GEO for the low end;
- 111,869 GEO for the midpoint (+17% vs the record Q3 of 95,557);
- 136,869 GEO for the high end (+43%).
The low end looks achievable on the Q3 run-rate. The midpoint and top end depend on MSG continuing to ramp and on Apoena grades, with the fleet-ownership transition occurring in the same window. Aura also expects cash cost and AISC within guidance, supported by higher MSG production, so an MSG shortfall hits both volume and unit cost.
- MediumFunding
Capital intensity alongside dividends: S&P downside triggers in play
Q2 capex was US$84.3m. 2026 guidance includes higher sustaining and expansion capex for MSG integration and optimisation, and the R$612m fleet purchase comes on top. Aura paid about US$55m of dividends in Q1. S&P upgraded Aura to BB- but explicitly named sustained high capex, aggressive dividends, weaker operations and working-capital pressure as triggers that could weaken credit metrics. Liquidity is not stressed today. The risk is that an MSG ramp delay plus capex overrun erodes the credit trajectory and the dividend story.
- MediumManagement
Post-acquisition integration of MSG and Era Dorada systems, people and controls
MSG has been under Aura ownership only since December 2025. Aura itself flagged that the MSG and Era Dorada acquisitions required specific focus on integrating personnel and processes into its compliance programme, with site assessments planned during 2026. AngloGold-era operating systems (maintenance, planning, KPI reporting, procurement) are likely being replaced or harmonised during an active turnaround, which raises the risk of data and control gaps (inference).
- MediumTechnicalAnalyst inference
Reserve grade quality: tonnes up, contained metal and NSR down
The company-wide 2025 reserve update showed tonnes +14% (+1.59 Mt) but contained metal -7% (-57,077 GEO) and NSR -9%. That implies an average reserve grade decline of about 18% (0.93 ÷ 1.14), as a rough estimate. Lower-grade reserves raise sensitivity to dilution, grade control, cut-off optimisation and recovery. The research contains conflicting headlines claiming reserves 'more than doubled' to 7.22M GEO, so the like-for-like basis must be verified.
- LowEsg Community
Tailings, extreme-weather and Brazil permitting/community exposure
S&P cites extreme-weather exposure and downstream tailings dams as negative E&S factors. Risk factors cover permits, communities, Indigenous peoples, caves, fauna, flora and climate requirements in Brazil. No specific incident, dispute or permit delay at MSG was identified. A plant expansion to 3 Mtpa will, however, increase tailings throughput (inference).
- LowOther
Reduced disclosure after TSX delisting
Aura no longer files an MD&A after its TSX delisting. MSG-level tonnes, grade, recovery, unit costs and AISC are not publicly broken out in the material retrieved. Investors and lenders therefore have less visibility into the turnaround, which raises the value of credible, independently verified operating KPIs.

No recent equity or debt raise identified. Repaid about US$20m of gross debt in Q1 2026 [3]. Agreed on 21 Oct 2026 to acquire contractor fleets at Apoena, Almas and Borborema for R$612m (≈US$111m est.); funding structure not disclosed [38].
Aura is cash-generative, not burning cash.
- Q1 2026: operating cash flow US$117.9m [4]; recurring FCF about US$95m [3].
- Cash rose from about US$207m (Mar 31) to US$248.3m (Jun 30) despite Q2 capex of US$84.3m [2][3].
- Leverage is low at 0.16x net debt/EBITDA (Q1) [4]. S&P rates Aura BB- (upgraded 3 Mar 2026) on 2025 revenue of US$921m and EBITDA of US$549m. S&P flagged high capex, aggressive dividends and working-capital pressure as downside triggers [28].
- Implied realised price: Q2 revenue US$336.0m / 75,437 GEO ≈ US$4,450/GEO (estimate; sales ≠ production). H1: US$718.6m / 157,574 GEO ≈ US$4,560/GEO.
- MSG is the outlier. Its Q2 cash cost of US$3,852/GEO leaves only about US$600/GEO margin before sustaining capex, royalties and G&A, so MSG is likely near AISC break-even at current volumes (inference).
Headroom is not the issue. Pressure comes from capital intensity: MSG development, the plant expansion and the R$612m fleet purchase, all funded alongside about US$55m/qtr of dividends. Guidance credibility as a newly US-listed issuer adds to it.
Aura reports in US$, so no conversion is needed for reported figures. The R$612m fleet-insourcing consideration is about US$111m at an assumed R$5.5/US$; this is an estimate because no FX rate is given in the sources. Gross debt is derived: Q1 net debt US$115.2m plus Q1 cash of about US$207m gives about US$322m at 31 Mar 2026 (estimate).

Peer benchmark
Second quartile on costConsolidated, Aura's FY2025 AISC of US$1,524/GEO sits in the lower-cost half of the cited Americas peer set. It is level with Alamos, above Agnico (US$1,458) and below Kinross, Newmont, Barrick and Eldorado (US$1,609–1,709), and well below Brazilian UG peer Xavantina (US$2,082). That is a second-quartile position. The consolidated figure masks MSG: at a Q2 2026 cash cost of US$3,852/GEO (before sustaining capex), MSG is a fourth-quartile asset on any cost curve and is the main threat to Aura's 2026 AISC guidance and its 2027 cost profile as MSG's weight in the portfolio grows.

Value at stake
Estimates from public data, validated in the diagnosticWe estimate first-year value at stake of about US$32.3m. About US$27.6m comes from MSG (ounce ramp, unit cost, recovery) and US$4.7m from protecting Apoena through the owner-mining transition. This is conservative: Almas, Borborema and any contractor-margin capture are excluded because the research does not disclose their volumes or costs.
Our proposed total fee of US$3.35m is about 10.4% of first-year value, at the low end of our 10–15% value-based range, with 30% of it at risk.
All figures are estimates built on the Q2 implied realised price of about US$4,450/GEO, the estimated MSG Q3 run-rate and the technical-report recoveries. The diagnostic will replace them with site-verified baselines.

Proposal
Getting Serra Grande from ~52 koz to 80 koz faster, and making owner-mining beat the contractors at Apoena, Almas and Borborema
Aura had a record Q3 2026 (95,557 GEO) and a strong balance sheet [30][2]. The consolidated numbers hide one high-cost asset and one large transition.
**Serra Grande (MSG).** In Q2, MSG produced about 7k GEO at a cash cost of US$3,852/GEO [13][2]. Even after +85% QoQ in Q3 [37], it runs at about 52 koz/yr (our estimate), against the 80 koz it produced under AngloGold in 2024 and the ~80 koz 2027 target [51][13]. At the same time, the site is changing its stoping sequence (top-down to bottom-up) [40], accelerating development, and commissioning a ~3 Mtpa plant by year-end [15].
**Owner-mining.** From now on, Aura is buying out the contractor fleets and workforce at Apoena, Almas and Borborema (R$612m, ≈US$111m est.) [38]. That puts equipment availability, maintenance and dispatch at three producing mines directly on Aura's books.
**Our offer** is a cash-paid diagnostic (6 weeks, US$350k) followed by an 8-month on-site implementation run by former underground and open-pit operators:
- short-interval control on MSG development and stope cycles, plus dilution control through the method change;
- MSG underground fleet maintenance;
- MSG plant ramp-up and recovery management;
- owner-maintenance systems built from day one at the three insourced sites.
**Value.** We estimate first-year value at stake of about US$32.3m/yr. Total fees are US$3.35m (≈10.4% of that value). About 30% of the fee is at risk against KPIs: MSG quarterly output, MSG cash cost/GEO, recovery and fleet availability, all measured against a jointly agreed baseline.
**Payment split.** Given Aura's cash position, we propose 80% cash and 20% KPI-vesting equity. The equity is there for alignment, not financing.
Problems we solve
- MSG cash cost of US$3,852/GEO on ~7k GEO in Q2 2026: fixed underground and plant costs spread over too few ounces [2][13]
- MSG output at ~52 koz/yr annualised (est.) vs the ~80 koz 2027 target and 80 koz in 2024; a ~55% lift is required [37][13][51]
- Underground execution risk through the top-down to bottom-up sequencing change and accelerated primary development in longitudinal sublevel stoping [40][15][14]
- MSG plant expansion from ~2 to ~3 Mtpa by YE2026: commissioning, OEE, feed blending and the 6.6-pt recovery gap between low-grade open-pit ore (85.2%) and higher-grade ore (91.8%) [15][14]
- Owner-mining transition at Apoena, Almas and Borborema (R$612m): availability dip and cost creep if maintenance systems, spares, dispatch and supervision are not in place from day one [38][42]
- 2026 guidance: the midpoint needs Q4 output 17% above the record Q3, and cost guidance depends on MSG volume [30][18]
- Reduced public disclosure after the TSX delisting: no MD&A, so investors and S&P have limited visibility of MSG KPIs [1][28]

| 5. Owner-mining transition at Apoena, Almas and Borborema | Build owner-maintenance systems from day one: work-order system, PM schedules, critical-spares inventory and supply-chain lead times, and a component-replacement plan for the acquired fleet. In load and haul: dispatch, payload, queue and cycle-time management, plus supervisor coaching for the transferred workforce. The aim is to match or beat contractor-era availability and productivity, protecting Apoena's higher-grade H2 sequence after Nosde. | Months 2–9, priority on the first 90 days after the fleet transfer closes |
| 6. Performance management and independent KPI verification |

Commercial terms
$3.4MUS$2.68m cash in total:
- Diagnostic: US$350k fixed fee in cash (50% on mobilisation, 50% on delivery of the diagnostic report and agreed KPI baselines).
- Implementation retainer: US$2.0m over 8 months (US$250k/month).
- Cash success fee: US$330k, paid on KPI achievement at month 9.
US$670k of equity value, granted as restricted share units or common shares, or alternatively warrants of equivalent value, at signing. Each tranche is valued at the 5-day Nasdaq (AUGO) VWAP before the implementation contract is signed.
Vesting in three KPI tranches:
- 30%: MSG quarterly output at or above 18,000 GEO;
- 40%: MSG quarterly cash cost at or below US$2,500/GEO;
- 30%: owner-fleet availability at Apoena, Almas and Borborema at or above contractor-era baseline plus 3 pts.
Unvested tranches lapse at month 12. If share issuance proves impractical, we will accept a cash-settled phantom-share equivalent on the same KPIs.
80/20 rather than our 60/40 default because Aura is cash-generative (US$248.3m cash; Q1 recurring FCF about US$95m) [2][3]. The equity is for alignment.
The at-risk share is 30% of the total fee: US$330k cash success fee plus US$670k equity. KPI baselines are fixed in the diagnostic and signed off by the COO and CFO.
We make the attribution explicit: MSG output and cost/GEO also move with Aura's own capex programme, so targets are set against Aura's internal budget, not against zero.
Aura may stop after the diagnostic with no further obligation.
Results-linked fees
30% of the fee depends on resultsTotal fee is US$3.35m (≈10.4% of the estimated US$32.3m first-year value at stake), in three parts:
- a fixed-fee cash diagnostic (US$350k);
- an 8-month cash retainer (US$2.0m);
- US$1.0m at risk (30%): US$330k cash success fee plus US$670k of KPI-vesting equity.
KPI baselines come from the Q2/Q3 2026 disclosures where available and are otherwise fixed and signed off in the diagnostic. The split is 80% cash and 20% equity. Aura can stop after the diagnostic.
| Phase | Duration | Fee | Paid in | Paid or vests when |
|---|---|---|---|---|
| Phase 1 – Diagnostic and baseline (MSG plus Apoena) | 6 weeks | $350K | Cash | Fixed fee: 50% on mobilisation, 50% on delivery of the diagnostic report, value case and KPI baselines signed off by the COO and CFO |
| Phase 2 – Implementation retainer (MSG underground, MSG plant, owner-mining at three sites, performance management) | 8 months | $2.0M | Cash | US$250k per month on site, subject to the agreed team mobilisation and monthly steering-committee reports |
| Phase 3a – Cash success fee | Measured at month 9 | $330K | Cash | Pro-rata payment on achievement of the fee-linked KPIs (MSG output, MSG cash cost/GEO, recovery, owner-fleet availability) against the Phase 1 baselines |
| Phase 3b – KPI-vesting equity (RSUs/shares or warrants) | Vests in tranches up to month 12 | $670K | Equity | 30% on MSG quarterly output ≥18,000 GEO; 40% on MSG quarterly cash cost ≤US$2,500/GEO; 30% on owner-fleet availability ≥ contractor baseline +3 pts. Unvested tranches lapse at month 12. |
| KPI | Baseline | Target | Measured by |
|---|---|---|---|
| MSG quarterly gold-equivalent production Linked to fee | ~12,950 GEO in Q3 2026 (estimate: Q2 ~7,000 GEO x 1.85 [13][37]); to be confirmed from site data in the diagnostic | ≥18,000 GEO in a quarter by Q3 2027 (72 koz/yr annualised), on the path to ~80 koz | Aura quarterly production releases and MSG monthly production reports, quarter-end |
| MSG cash cost per GEO Linked to fee | US$3,852/GEO (Q2 2026) [2] | ≤US$2,500/GEO for a full quarter by Q3 2027, measured against Aura's 2027 budget so that volume-driven gains are separated from controllable savings | MSG site cost reports reconciled to Aura's quarterly earnings release, quarterly |
| MSG plant metallurgical recovery by ore type Linked to fee | Actual recovery measured in the diagnostic; technical-report assumptions are 91.8% (HG/MG) and 85.2% (OP low-grade) [14] | +1.0 pt weighted recovery vs the diagnostic baseline over a full quarter after expansion commissioning | Plant metallurgical balance and monthly reconciliation, 3-month rolling |
| Owner-fleet mechanical availability at Apoena, Almas and Borborema Linked to fee | Contractor-era average availability over the 6 months before transfer (from contractor and dispatch records, set in the diagnostic) | No dip below baseline in the first 90 days after transfer; ≥ baseline +3 pts by month 9 | Fleet management and dispatch system data plus CMMS work-order records, monthly |
| MSG underground development and stope plan attainment | Metres developed and stope tonnes vs plan over the last 3 months, set in the diagnostic | ≥90% monthly plan attainment sustained for 3 consecutive months | MSG short-term plan vs actual survey and mucking reports, monthly |
| MSG expanded plant throughput | ~2 Mtpa nameplate before expansion (management statement [15]); actual throughput set in the diagnostic | ≥85% of ~3 Mtpa nameplate run-rate within 4 months of commissioning | Plant DCS and weightometer data, monthly |
| Safety – TRIFR at MSG and the insourced sites | Site TRIFR for the 12 months before the engagement | No deterioration (gate condition: success fees are withheld on any fatality attributable to engagement workstreams) | Aura HSE reporting, monthly |
Why now and next steps
Three things land in the next 90 days:
1. **Owner-mining at three sites starts now.** The R$612m fleet insourcing was announced 21 October 2026 [38]. The first 90 days of owner-maintenance decide whether insourcing delivers its value case.
2. **The MSG plant is due for year-end.** The expansion to ~3 Mtpa is scheduled for YE2026, about 10 weeks away [15]. Ramp-up habits form in the first months.
3. **2027 is the year MSG has to prove itself.** Management has set ~80 koz as the target and pushed stronger performance into 2027 [13][15]. This will be Aura's first full year reporting without an MD&A [1].
The 2026 midpoint also needs a record Q4 [30]. A diagnostic started in November would set the 2027 baselines before budgets lock.
- 1.Confirm the CEO, COO, CFO and MSG GM names from the latest 20-F/6-K and corporate site before sending.
- 2.Send the email and one-page teaser to the CEO, copying the COO; ask for a 45-minute call with the COO and the MSG GM.
- 3.Propose a one-day site walk at MSG (underground plus plant) at no cost to scope the diagnostic.
- 4.Agree the diagnostic scope, data request (MSG monthly tonnes, grade, recovery, cost bridge, fleet data) and fixed fee; sign by mid-November 2026.
- 5.Run the 6-week diagnostic and present the value case, KPI baselines and implementation contract (including the equity tranches) to the COO and CFO by mid-December 2026.
- 6.In parallel, have Aura's counsel confirm the equity mechanics: Nasdaq FPI home-country practice, Form S-8 eligibility and any facility covenants.

Decision-makers
In suggested order of approach| Order | Person | What they care about | How to approach |
|---|---|---|---|
| 1 | Not identified in research – confirm from 20-F / corporate site General Manager, Mineração Serra Grande (MSG) Site OperationsHigh influence | Delivering the ~80 koz 2027 target, executing the top-down to bottom-up transition, development metres, commissioning the ~3 Mtpa plant, and bringing cost/GEO down from US$3,852 | Operator-to-operator site walk underground and in the plant. Offer SIC on development and stope cycles plus underground maintenance support as extra hands for his plan, not a critique. Position the diagnostic as the bottleneck map he can use to defend resources. |
| 2 | Not identified in research – confirm Chief Operating Officer ExecutiveHigh influence | The MSG turnaround across three underground mines and the plant; making fleet insourcing at Apoena, Almas and Borborema work without an availability dip; hitting 2026 guidance | Lead with the two-front problem (MSG ramp plus owner-mining transition) and our proof points on availability and haulage cycle time. Propose the fixed-fee diagnostic covering MSG plus one insourced site, with an at-risk implementation fee. |
| 3 | Not identified in research – confirm Chief Executive Officer ExecutiveHigh influence | Guidance credibility as a Nasdaq-listed issuer without an MD&A, the dividend story, and MSG justifying the AngloGold acquisition | Short email and one-page teaser framing about US$32m/yr of value at stake and independent MSG KPI verification for investors. Ask for COO sponsorship. |
| 4 | Not identified in research – confirm Chief Financial Officer ExecutiveMedium influence | Capex intensity (Q2 US$84.3m) alongside about US$55m/qtr of dividends, keeping the S&P BB- trajectory, and funding the R$612m fleet purchase | Show the cost bridge, the KPI-linked fee (30% at risk, 80% cash and 20% vesting equity), and how faster MSG ounces and protected Apoena volume support free cash flow and the credit metrics S&P watches. |
| 5 | Not identified in research – confirm Board chair / technical or operations committee BoardMedium influence | Integration risk on MSG and Era Dorada, controls and compliance (flagged in the 2025 sustainability report), and acquisition returns | Via the CEO, offer an independently verified monthly MSG KPI pack and integration-standards work that matches Aura's own 2026 compliance-integration agenda [26]. |
| 6 | Not identified in research – confirm from ownership filings Major shareholders ShareholderMedium influence | Dividend sustainability and evidence that MSG reaches ~80 koz at an acceptable cost | Only after management engagement, or if management is unresponsive: position an independent operational review of the MSG ramp as supporting the dividend and growth story. |
| 7 | Not identified in research – facilities not disclosed Lenders (gross debt ~US$322m est.) Lender StreamerLow influence | Credit metrics and capex discipline | Low priority, given 0.16x leverage. Mention only if a facility amendment or financing for the fleet purchase arises. |
Stakeholder angles
Who else can push management to engageAura pays material dividends (about US$55m in Q1 2026) [3] and its growth story rests on MSG reaching about 80 koz in 2027 [13]. Shareholder names are not in the research.
An independent, operator-led view of the MSG ramp and the owner-mining transition reduces the risk of a 2027 miss that would hit both growth and dividend capacity. Verified monthly KPIs replace the visibility lost with the MD&A [1].
S&P upgraded Aura to BB- on 3 March 2026 but named weaker operations, high capex, aggressive dividends and working-capital pressure as downside triggers [28].
Not a buyer, but a lever in the CFO conversation. Faster MSG cost normalisation and a smooth owner-mining transition directly protect the metrics S&P watches, and independently verified KPIs support the next ratings review.
Gross debt is about US$322m (estimate from Q1 net debt plus cash) [4][3]; facilities and covenants are not disclosed. The R$612m fleet acquisition may require financing or consent [38].
If the fleet purchase or any refinancing involves lenders, offer an independent operating readiness review of the insourced fleets: maintenance systems, availability baseline and cost plan. It de-risks the asset base securing their exposure.
The board oversees integration of MSG and Era Dorada into Aura's compliance and operating systems [26] and the returns on the AngloGold acquisition [51].
A structured MSG turnaround programme with KPI-linked, at-risk fees and common performance-management and data standards gives the board measurable evidence that the acquisition is on track.
